Position Overview

Ultimate Staffing is actively seeking an experienced Corporate Paralegal to join a dynamic legal team in the Raleigh, North Carolina area. This role is designed for a detail-oriented and highly organized individual who thrives in a fast-paced, deadline-driven team environment. The Corporate Paralegal will work closely with attorneys and clients on high-profile securities transactions, offering a unique opportunity to gain hands-on experience and training. This position offers a hybrid work arrangement.

Responsibilities

  • Support attorneys and clients in securities financings, public company M&A, and other corporate transactions for public companies.
  • Prepare SEC filings, including Forms 8-K, S-8, 10-K, and 10-Q, as well as proxy statements and Forms S-1 and S-3.
  • Draft Section 13 and 16 filings and manage compliance.
  • Assist with entity formations, governance, state filings, and due diligence.
  • Draft corporate and securities documents, stock certificates, and audit letters.
  • Address Rule 144 matters, liaising with transfer agents and drafting related opinions.
  • Draft and file Form Ds, and assist with EDGAR Next matters.
  • Manage multiple projects and deadlines in a fast-paced environment.

Qualifications

  • Bachelor's degree; ABA-approved Paralegal Certificate preferred.
  • 3+ years of securities paralegal law firm experience or related legal/business experience.
  • Strong knowledge of SEC regulations, corporate governance, and compliance.
  • Excellent drafting, proofreading, communication, and organizational skills.
  • Proficiency with Workiva, Active Disclosure, EDGAR platform, Microsoft Office

Required Work Hours

Monday through Friday, 1st shift.

Additional Details

Salary range is between $75,000 and $85,000 per year.
